Law firm FORT Tallinn provided counsel to Kapitel AS and Tristafan OÜ in a significant transaction, likely to be the largest real estate deal in Estonia this year. The transaction involved the acquisition of shares in Viru Keskus from Kapitel’s long-term collaborator and co-owner, Pontos Group.

Viru Keskus is Estonia’s leading shopping center, attracting over 13 million visitors annually.

The signed agreement will take effect in the coming months, subject to the fulfillment of agreed-upon preconditions, including approval from the Competition Authority. The transaction price is not disclosed by the parties.

In 2023, Kapitel has undertaken several notable projects, with FORT Tallinn being actively involved.
